This is a hands-on capital formation lab, not a pitch contest and not a fund. In two days you learn how early-stage Florida companies raise from Florida residents under the state's intrastate securities pathways — without full SEC registration — and you leave with a company file you can actually use.

Friday eight hours. Saturday six. Taught by a Gainesville attorney, and other attorneys from around the state of Florida. Form or register a Florida company, set authorized shares, write the plan and executive summary, build a deck that matches the file, and walk a Florida funding portal. Education only. You keep the company.

What "ready" means

When Saturday ends, you should be ready to operate a compliant Florida intrastate raise path — not to have closed a round in class.

  • Entity + shares: Florida company formed or registered; authorized shares understood and documented.
  • Path chosen: Clear memo on Invest Local (up to $500k) vs Limited Offering (up to $5M) for your facts.
  • File that matches: Business plan, executive summary, and a deck that matches the same story.
  • Portal literacy: You've walked how a Florida funding portal works — rails, not a guaranteed raise.
  • 30-day plan: Next steps you own (counsel, CPA, bank, portal). You do not need CFL after Saturday.

  • Florida for-profit registered with the Department of State; principal place of business in Florida
  • $500,000 cap in a 12-month window
  • Non-accredited purchasers generally capped at $10,000 (exceptions for accredited / officers / 10% owners)
  • Intermediary optional; OFR notice at least five business days before launch
  • General advertising allowed if it states the offer is open only to Florida residents

  • Must ride a federal intrastate exemption (3(a)(11), Rule 147, or Rule 147A)

  • Financial tiers: optional ≤$500k · CPA-reviewed to $2.5M · CPA-audited above
  • Fund-hold in a Florida-authorized federally insured account until the target is hit
